Terms of Service
Last Updated: October 18, 2026
1. Who We Are
This website is operated by DigitalScale Business Development Enterprise ("we," "our," or "us"), a business solutions provider operating in Nigeria.
By accessing this website, requesting a quote, or engaging us for work, you agree to these Terms of Service. If you do not agree, please do not use the site or our services.
2. Our Services
We provide business marketing, practical AI solutions, business software and operations support, and web design. The precise scope of any engagement is defined in the quote, package description or service agreement issued for that engagement, not by descriptions on this website, which are general in nature.
We may change, suspend or discontinue any part of our published service offering at any time. This does not affect work already agreed and paid for.
3. Quotes and Engagement
- Quotes are valid for the period stated on the quote. Where no period is stated, a quote is valid for 30 days from its date of issue.
- A quote is an offer, not a contract. Work begins when you accept the quote or sign the service agreement, and any required deposit has been received.
- Prices published on this website are indicative. The price for your engagement is the one on your quote or agreement.
- Where a service agreement is issued, you sign it electronically by typing your full name on the agreement page. That signature, together with the date, time and network address recorded at that moment, forms part of the contract record.
4. Your Responsibilities
Most delays on a project are caused by inputs we cannot supply ourselves. You agree to:
- Provide content, branding assets, access credentials, approvals and feedback in reasonable time.
- Ensure you hold the rights to any material you supply to us: text, images, logos, data or otherwise.
- Nominate a single point of contact empowered to approve work on your behalf.
- Keep any credentials we issue you secure, and tell us promptly if you believe they have been compromised.
Where a project stalls for more than 60 days awaiting something from you, we may treat it as paused and reschedule remaining work against our then-current availability.
5. Fees and Payment
- All fees are stated in NGN unless the quote says otherwise, and are exclusive of any applicable taxes and third-party costs.
- Third-party costs (domain registration, hosting, licences, advertising spend, paid plugins, SMS and email credits) are yours, and are either billed to you at cost or paid by you directly.
- Invoices are due by the date shown on the invoice. Where no date is shown, payment is due within 7 days of issue.
- We may suspend work, and withhold delivery of unpaid work, on any account with an overdue invoice.
- Recurring services are billed in advance on the cadence stated in your agreement: monthly, quarterly, biannually or annually.
Payment terms and refunds are set out in full in our Refund & Cancellation Policy.
6. Intellectual Property
Your material. Content, trademarks and data you supply remain yours. You grant us the licence needed to use them for the purpose of delivering your project.
Delivered work. On full payment, ownership of the final deliverables created specifically for you passes to you.
Our tools. We retain ownership of the underlying know-how, frameworks, code libraries, templates and processes we use to produce that work, including anything developed before or outside your engagement. Nothing in an engagement prevents us reusing them.
Third-party components. Themes, plugins, fonts, stock imagery and software licensed from others remain governed by their own licences, which pass to you on their terms and not ours.
Portfolio. We may identify you as a client and show the work publicly, unless you ask us in writing not to.
7. Revisions and Acceptance
Each engagement includes the number of revision rounds stated in its quote or agreement. Revisions beyond that, or requests that change agreed scope, are quoted separately before being carried out.
Where you do not respond to a delivery within 14 days, it is treated as accepted so that the project can proceed and be invoiced.
8. Confidentiality
Each party will keep the other's non-public business information confidential and use it only for the purpose of the engagement. This does not apply to information that is already public, that is received legitimately from a third party, or that we are required to disclose by law.
How we handle personal data specifically is set out in our Privacy Policy.
9. Warranties and Disclaimers
We will perform our services with reasonable skill and care, and in line with accepted professional practice.
We do not warrant that:
- Any particular commercial result will follow from our work, including search rankings, traffic volumes, lead numbers or revenue. These depend on factors outside our control, including your market, your pricing, your own follow-up, and the policies of third parties such as search engines and advertising platforms.
- Software, websites or integrations will be uninterrupted or entirely free of defects.
- Third-party services we integrate will remain available, or will not change their terms, pricing or interfaces.
This website's content is provided for general information. It is not professional, financial or legal advice, and you should not act on it without taking advice specific to your circumstances.
10. Limitation of Liability
To the fullest extent permitted by law, our total liability arising out of any engagement is limited to the fees you have paid us for that engagement in the 6 months preceding the claim.
We are not liable for indirect or consequential loss, including loss of profit, loss of revenue, loss of anticipated savings, loss of data, or business interruption.
Nothing in these terms limits liability for fraud, or for anything else that cannot lawfully be limited.
11. Acceptable Use
You may not use this website or our services to:
- Break any applicable law, or infringe anyone's rights.
- Send unsolicited bulk messages, or supply us with mailing lists you do not have consent to contact.
- Attempt to gain unauthorised access to our systems, or to any system we manage on a client's behalf.
- Upload malicious code, or interfere with the operation of the site.
- Scrape, copy or republish substantial parts of this site without our written permission.
12. Termination
Either party may end an engagement in accordance with the notice terms in the applicable agreement and our Refund & Cancellation Policy.
We may suspend or end an engagement immediately where an invoice is significantly overdue, where you breach these terms, or where continuing would require us to act unlawfully.
On termination, you remain liable for work completed and costs committed up to that point. Sections covering intellectual property, confidentiality, liability and governing law survive.
13. Third-Party Services and Links
Our work frequently involves third-party platforms: hosting providers, payment processors, search engines, advertising networks and software vendors. Your use of those services is governed by their terms, not ours, and we are not responsible for their acts, omissions, outages or pricing changes.
This site may link to external websites. We do not control them and are not responsible for their content.
14. Governing Law
These terms are governed by the laws of the Federal Republic of Nigeria. Any dispute is subject to the jurisdiction of the Nigerian courts.
Before commencing proceedings, both parties agree to attempt in good faith to resolve the dispute through direct discussion.
15. Changes to These Terms
We may update these terms from time to time. The version published here on the date you engage us is the version that applies to that engagement, and continued use of the site after an update constitutes acceptance of the revised terms.
